Terms of Service

1. Agreement to Terms

By accessing or using Operum ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.

2. Description of Service

Operum is a desktop application that orchestrates AI agents to automate development, marketing, and community workflows. The Service includes:

  • Desktop application for macOS, Windows, and Linux
  • Cloud-based license management and authentication
  • Integration with third-party services (GitHub, etc.)
  • Access to AI agent templates and configurations

3. Account Registration

To use the Service, you must create an account. You agree to:

  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account

4. Subscription and Billing

Free Trial

New users receive a 14-day free trial with access to the Service. No payment information is required for the trial. After the trial period expires, a paid subscription is required to continue using the Service. We will notify users before their trial ends.

Paid Subscriptions

After the trial, continued use requires a paid subscription. Subscriptions are billed monthly and automatically renew unless cancelled.

Cancellation and Refunds

You may cancel your subscription at any time. Access continues until the end of the current billing period, and no refunds are provided for partial months. Subscriptions renew automatically until cancelled. For full details on cancellation, automatic renewal, and refunds, see our Refund & Cancellation Policy.

When you cancel, your account and login remain. You keep full access until the end of your current paid period. After that, your projects are archived for a 7 calendar-day window during which re-subscribing restores everything exactly as you left it. If you do not re-subscribe within those 7 days, the archived projects are permanently deleted. This cancellation timeline is distinct from the 30 calendar-day grace period that applies to a suspension for non-payment (see Non-payment and Account Suspension below). Price Changes

We reserve the right to modify pricing with 30 days notice. Existing subscribers will be notified via email before any price changes take effect.

Non-payment and Account Suspension

Continued access to the Service requires a valid subscription in good standing. If your payment fails after Stripe's automatic retry attempts, your account will be suspended and will enter a 30 calendar-day grace period beginning on the date of suspension. (Voluntary cancellation follows the separate, shorter timeline described under Cancellation and Refunds above.)

During the grace period, your access drops to read-only. You may still log in and export project data, but you cannot run agents, start new chats, or make changes. We send a final notice when your account is suspended, followed by reminder emails on day 7, day 21, day 28, and day 29 of the grace period, each naming the exact scheduled deletion date.

If your subscription is not restored before the grace period ends, all project data is removed from our active systems on day 30 and is no longer accessible to you or to Operum's regular operations. Your account login is preserved so you can re-subscribe and start fresh. See our Privacy Policy for the detailed retention timeline.

You are solely responsible for exporting any data you wish to retain during the grace period. Operum is not liable for data loss resulting from your failure to restore the subscription within the 30 calendar-day window.

Tier Changes and Team Limits

Each subscription plan has a defined maximum number of teams (sometimes called "projects"). Current limits for Standard, Premium, and Team plans are published on the pricing page.

Upgrading to a higher-tier plan is immediate and has no effect on your existing data.

Downgrading to a plan whose team limit is lower than your current team count requires reducing that count. You may do this in one of two ways:

  • Choose which teams to keep during the in-app downgrade flow, or
  • Allow Operum to automatically archive excess teams when the downgrade is initiated from the Stripe billing portal. In that case the downgrade always proceeds: we keep the teams you have used most recently, up to your new plan's limit, and archive the rest.

Archived teams enter a 30 calendar-day recovery window. During that window you may restore archived teams by upgrading, or by re-subscribing above the current limit. After 30 calendar days, archived teams are removed from our active systems. Operum is not liable for team data loss resulting from your failure to recover archived teams within the 30 calendar-day window. Team Deletion

You may delete a team yourself at any time from Settings → Danger Zone ("Move Team to Trash"), regardless of subscription status. The team then moves to Trash, where its data is preserved for 7 calendar days so you can change your mind — Restore it, or Delete Permanently (which removes the team from your account immediately). Any team still in Trash on day 7 is removed automatically.

You are solely responsible for exporting any data you wish to retain before permanent deletion. Operum is not liable for team data loss resulting from your own decision to delete a team. See our Privacy Policy for full retention details.

Account Deletion

You may permanently delete your account at any time — from Settings → Danger Zone in the desktop app, or from your account page on the web. Two paths are available on both surfaces:

  • Delete with a recovery window. Deletion starts a 7 calendar-day recovery window: sign back in during those 7 days and choose Cancel deletion to revert. After 7 days, your account and all associated data are permanently deleted.
  • Delete immediately. This permanently destroys your account and all associated data right away, with no recovery window. To prevent accidents, this path requires you to type a confirmation phrase and check an acknowledgment that the deletion is permanent and cannot be recovered.

Either path permanently removes all data associated with your account, including any managed / Operum-provisioned (Quick-start) repositories hosted for your teams. Once the deletion completes — immediately, or at the end of the 7 calendar-day window for the recoverable path — the data cannot be recovered.

Exporting or transferring anything you wish to keep before deletion is your sole responsibility. If a team uses a Quick-start repository provisioned by Operum, you can download it as a ZIP or transfer it to your own GitHub account before deleting — see how to keep your repository. Only you, signed in to your own account, can export or transfer your managed repository; no other user can access it. Operum is not liable for any data — including managed repositories — lost as a result of your own decision to delete your account.

5. Acceptable Use

Your use of the Service is governed by our Acceptable Use Policy ("AUP"), which is incorporated into and forms part of these Terms. By using the Service you agree to comply with the AUP. The list below is a non-exhaustive summary; the AUP controls and contains the full prohibited-use terms and our enforcement approach.

Without limiting the AUP, you agree not to:

  • Use the Service for any illegal purpose, or violate any laws or regulations;
  • Infringe on intellectual property rights;
  • Transmit malware or malicious code;
  • Attempt to gain unauthorized access to systems;
  • Engage in fraud, harassment, or violate the rights of others;
  • Interfere with or disrupt the Service;
  • Resell or redistribute the Service without authorization;
  • Use the Service — including the instructions you give your AI agents — to generate harmful, abusive, or illegal content, or to direct any agent to do any of the foregoing.

A violation of the AUP is a violation of these Terms.

6. Intellectual Property

The Service and its original content, features, and functionality are owned by Operum and are protected by international copyright, trademark, and other intellectual property laws.

You retain ownership of any content you create using the Service. By using the Service, you grant us a limited license to process your content solely to provide the Service.

7. Third-Party Services

The Service integrates with third-party services such as GitHub and Claude AI. Your use of these services is subject to their respective terms of service. We are not responsible for the availability, accuracy, or content of third-party services.

8. AI Agents and Autonomous Operations

The Service orchestrates AI agents that can autonomously perform actions on your behalf, including but not limited to: writing and modifying code, creating git commits and pull requests, executing shell commands, managing GitHub issues, and interacting with external services. You acknowledge and agree that:

  • You are solely responsible for all actions performed by AI agents operating under your account, including any changes to your codebase, repositories, databases, infrastructure, or third-party services
  • You are solely responsible for the instructions you give your AI agents. The instruction files, prompts, knowledge-base content, templates, and configuration you create or edit to direct agent behavior (collectively, "Agent Instructions," commonly authored as Markdown / .md files) are your User-Generated Content. You create and control them; Operum does not author them and does not pre-screen or pre-approve them. You are solely responsible for what you instruct your agents to do and for all resulting actions and consequences, and you agree that your Agent Instructions will comply with the Acceptable Use Policy and all applicable laws
  • You are responsible for reviewing agent outputs before relying on them. AI-generated outputs may be inaccurate, incomplete, misleading, or unsuitable for your intended use. You are responsible for reviewing, validating, and approving agent outputs before relying on them, publishing them, sending them to third parties, connecting them to external systems, or using them to make decisions that affect legal rights, safety, finances, or other material interests
  • AI agents may produce incorrect, incomplete, or destructive outputs. This includes but is not limited to: deleting or overwriting files, pushing breaking changes, dropping database tables, modifying production systems, or executing unintended commands
  • You must review all AI-generated output before deploying to production environments. Running AI agents against production systems, databases, or live infrastructure is done entirely at your own risk
  • You are responsible for maintaining adequate backups of any code, data, or systems that AI agents may access or modify
  • You are responsible for configuring appropriate access controls and permissions for API keys, tokens, and credentials provided to or accessible by AI agents
  • Providing your own API keys where required and complying with AI provider terms of service
  • Any costs associated with API usage incurred by AI agents

Your Agent Instructions Are Your Responsibility; No Reliance on Model-Provider Guardrails

Operum is a neutral platform that executes the Agent Instructions you provide. Our protection against misuse is contractual and engine-independent: your responsibility for your Agent Instructions, and for everything you instruct your agents to do, applies regardless of which underlying AI model, engine, tool, plug-in, provider, or integration powers your agents at any given time, and it continues to apply if the underlying engine changes.

Your responsibility does not depend on, and is not reduced or limited by, any safety behavior, refusal, moderation feature, content filter, or guardrail that a third-party model provider, infrastructure provider, or integration may or may not apply. You may not rely on any model-provider guardrail, refusal, or automated filter as permission to attempt prohibited activity, and you may not author or use Agent Instructions to direct any agent to engage in activity prohibited by the Acceptable Use Policy. This allocation of responsibility is in addition to, and does not limit, the indemnification in Section 11 or the limitations in Sections 9 and 10.

Recommended Safeguards

We strongly recommend the following when using AI agents:

  • Run agents against development or staging environments, not production
  • Use repository branch protections to prevent direct pushes to main branches
  • Review all pull requests created by agents before merging
  • Use API keys with minimal required permissions (principle of least privilege)
  • Maintain regular backups of critical data and systems

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

AI-GENERATED CONTENT AND ACTIONS MAY CONTAIN ERRORS, INACCURACIES, OR UNINTENDED CONSEQUENCES. THE AI AGENTS ARE NOT INFALLIBLE AND MAY PERFORM DESTRUCTIVE OR INCORRECT OPERATIONS. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING AND VALIDATING ANY OUTPUT, CODE CHANGES, OR ACTIONS BEFORE USE IN ANY ENVIRONMENT, ESPECIALLY PRODUCTION.

WE MAKE NO WARRANTY THAT AI AGENTS WILL PERFORM AS EXPECTED, FOLLOW INSTRUCTIONS ACCURATELY, OR PRODUCE CORRECT RESULTS. THE BEHAVIOR OF AI MODELS IS INHERENTLY UNPREDICTABLE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPERUM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, BUSINESS INTERRUPTION, OR SYSTEM DOWNTIME, ARISING FROM YOUR USE OF THE SERVICE OR ACTIONS PERFORMED BY AI AGENTS.

WITHOUT LIMITING THE FOREGOING, OPERUM SHALL NOT BE LIABLE FOR ANY DAMAGES ARISING FROM: (A) AI AGENTS MODIFYING, DELETING, OR CORRUPTING YOUR CODE, DATA, OR SYSTEMS; (B) AI AGENTS EXECUTING UNINTENDED COMMANDS OR OPERATIONS; (C) UNAUTHORIZED OR EXCESSIVE API USAGE BY AI AGENTS; (D) DEPLOYMENT OF AI-GENERATED CODE TO PRODUCTION ENVIRONMENTS; OR (E) ANY ACTIONS TAKEN BY AI AGENTS ON THIRD-PARTY SERVICES CONNECTED TO YOUR ACCOUNT.

Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless Operum and its officers, directors, employees, contractors, and agents from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • (a) your use or misuse of the Service;
  • (b) your Agent Instructions and the actions you instruct your agents to take, including any content they generate or actions they perform at your direction or under your account;
  • (c) your violation of these Terms or the Acceptable Use Policy;
  • (d) your violation of any applicable law or the rights of any third party, including intellectual property, privacy, and publicity rights; and
  • (e) any dispute between you and a third party arising from your use of the Service.

Operum reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense of that claim. This indemnification obligation survives termination of these Terms.

12. Suspension and Termination

We do not proactively monitor the content of user accounts, teams, or Agent Instructions. We enforce these Terms and the Acceptable Use Policy on a report-driven and credible-notice basis — acting on abuse reports, third-party complaints, valid legal notices or court orders, security and platform-abuse signals, and other credible notice of a violation. You can report a violation through our abuse-reporting form (or by emailing abuse@operum.ai / legal@operum.ai).

Upon credible notice that your account, team, or Agent Instructions violate these Terms or the AUP, or are otherwise harmful to other users, us, or third parties, we may suspend or terminate your account or any team immediately and without prior notice, and may remove or disable access to specific content to the extent we are able and legally permitted or required to do so. We may investigate, request information, and cooperate with law enforcement and valid legal process. We will limit any access to account content to what is reasonably necessary and legally permissible to respond to a specific report or notice.

Suspension or termination under this section is separate from, and not limited by, the billing-related suspension and grace periods described in Section 4 (Subscription and Billing). Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination shall survive.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes via email or through the Service. Continued use after changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Operum operates, without regard to conflict of law principles.
